The State Administration for Market Regulation released data today (16th) showing that in the first quarter of this year, a total of 177 cases of operator concentration were concluded, of which 174 were approved unconditionally and 3 were withdrawn by the applicant after acceptance. In the first quarter of this year, the number of unconditional approval of business concentration cases increased by 12% year-on-year, domestic enterprise mergers and acquisitions were relatively active, and manufacturing mergers and acquisitions in the fields of automobiles, chemical raw materials, etc. performed well, with the following characteristics specifically:
From the case type, most business concentration cases were simple cases, and the cases were closed during the preliminary review stage (within 30 days after acceptance), and 154 simple cases were concluded, accounting for about 89%. Among the types of decisions for case review, 150 cases were concluded in the preliminary review stage, accounting for about 86%; 24 cases were concluded in the further review stage.
In terms of transaction amount, the total transaction amount of operator concentration cases exceeds 740 billion yuan, of which 117 concentrated cases with transaction amount of 100 million yuan or more, accounting for about 67%; 57 concentrated cases with transaction amount of 1 billion yuan or more, accounting for about 33%; 14 concentrated cases with concentrations of 10 billion yuan or more, of which the largest single transaction amount is 123 billion yuan.
From the perspective of domestic and foreign concentrated types, domestic enterprises have active investment. There are the largest number of concentrated cases between domestic enterprises, with 106 cases, accounting for about 61%; there are 41 cases between overseas enterprises, accounting for about 24%; there are 27 cases between domestic and foreign enterprises, accounting for about 16%.
From the perspective of ownership structure, multiple ownership entities have developed balancedly, with 104 concentrated cases involving state-owned enterprises, accounting for about 60%; 69 concentrated cases involving private enterprises, accounting for about 40%; 71 concentrated cases involving foreign enterprises, accounting for about 41%.
From the industry distribution, there are the most concentrated cases involving manufacturing, with 67 cases, accounting for about 39%, and investment continues to improve; other industries with a large number of transactions include water, electricity, gas and heat production and supply, wholesale and retail, transportation, information technology services, leasing business services, etc. From the perspective of sub-industry categories, the manufacturing industry has the largest number of concentrated cases involving automobile manufacturing, with 11 cases, accounting for about 16% of the total number of manufacturing industries; other industries with a large number include chemical raw materials and chemical products manufacturing, general equipment manufacturing, electrical machinery and equipment manufacturing, computer and electronic equipment manufacturing, pharmaceutical manufacturing, etc.
From the characteristics of transaction types and models, there are 90 horizontal concentrated cases involving competitors in peers, accounting for about 52%; there are 79 vertical concentrated cases involving upstream and downstream enterprises, accounting for about 45%; there are 55 mixed concentrated cases without horizontal and vertical relationships, accounting for about 32%. There are 91 concentrated cases in the form of equity acquisition, accounting for about 52%; there are 79 concentrated cases in the form of joint venture, accounting for about 45%; there are 7 concentrated cases in the form of new mergers and asset acquisitions.
From the perspective of enterprise registration locations, enterprises participating in the concentration of operators come from more than 30 countries and regions around the world, and overseas enterprises are mainly concentrated in Germany, Japan, the United States and other countries. In China, Beijing, Guangdong, Shanghai, Shandong and Jiangsu are the top five provinces (cities) for the number of registered places for participating in concentrated enterprises.
